Carolina Wholesaler Services: Terms, Disclosures, and Liability Disclaimer

By purchasing from Carolina Wholesaler Services ("Wholesaler"), the purchasing retailer ("Buyer") agrees to the following terms and conditions:

1. Product Liability and Manufacturer Warranty

All products, including but not limited to meat, dairy, and produce, are sold by Wholesaler in the original packaging, condition, and quality as provided by the original manufacturer, processor, or vendor.

Manufacturer Responsibility: Wholesaler acts as a distributor, not the manufacturer. Therefore, liability for defective products, contamination, spoilage, or failure to meet manufacturer specifications rests solely with the manufacturer or original supplier.

Assumption of Risk: Buyer acknowledges that agricultural products, particularly meat and produce, carry inherent risks. Buyer agrees to seek recourse directly from the manufacturer for any claims arising from product defects.

2. As-Is Sale and Exclusion of Warranties

Unless otherwise required by law, all goods are sold "AS-IS," with all faults, and without any implied warranty of merchantability or fitness for a particular purpose.

3. Non-Taxable Items (Resale Only)

All products sold by Carolina Wholesaler Services are intended for resale by the purchasing retailer.

Resale Exemption: Buyer certifies that they are purchasing products for resale in the regular course of business and are therefore exempt from sales tax at the time of purchase.

4. Limitation of Liability

In no event shall Carolina Wholesaler Services be liable to the Buyer for any indirect, consequential, special, or incidental damages (including, but not limited to, loss of profit, loss of revenue, or loss of business reputation) arising out of or in connection with the products supplied, even if advised of the possibility of such damages.

5. Buyer’s Duty to Inspect

Buyer is responsible for inspecting all products upon delivery. Any claims regarding visible defects, shortage, or damage must be made in writing within 48 hours of receipt.
